The main types of bill of lading are the order (negotiable) bill, the straight (non-negotiable) bill, the master and house bills, the clean and claused bills, the shipped on board and received for shipment bills, and alternatives such as the sea waybill and telex release. A bill of lading is the document a carrier issues for goods shipped by sea. It works as a receipt, as evidence of the contract of carriage and, in its negotiable form, as the document of title you need to collect the cargo. This guide explains each type and how it fits into an agri export from India.

Key takeaways

  • A bill of lading (B/L) is a receipt for the goods, evidence of the carriage contract and, when negotiable, a document of title.
  • An order B/L can be endorsed and transferred; a straight B/L names one consignee and cannot be transferred.
  • A telex release and a sea waybill let the buyer collect the goods without the paper original.
  • Errors on the B/L can delay customs clearance or cause a letter of credit to be refused, so check the draft before it is issued.

What Is a Bill of Lading?

A bill of lading is a document issued by a shipping line or its agent when goods are received for shipment or loaded on board a vessel. It is usually called a B/L or BL. For containerised agri cargo, such as pulses, spices or peanuts, it is issued once the container is loaded and the vessel sails.

The B/L has three roles. First, it is a receipt: the carrier confirms it has received the stated goods in apparent good order. Second, it is evidence of the contract of carriage: the terms on the back, or the carrier’s standard terms, govern the voyage. Third, in its negotiable form, it is a document of title: whoever lawfully holds the original can claim the goods at the destination port.

Why Does the Bill of Lading Matter?

The bill of lading matters because it controls who can take the goods and when. It is the link between the shipment and the payment.

In most agri trade, the seller keeps the original B/L until the buyer pays the balance or the bank accepts the documents. Only then does the buyer receive the original or a release, and only then can the buyer collect the container. This protects the seller from releasing goods before payment, and it protects the buyer, because the B/L proves the goods were shipped. Under a letter of credit, the bank checks the B/L closely, and any difference from the credit terms can lead to a refusal.

What Are the Types of Bill of Lading?

There are many types of bill of lading. They are grouped by how they can be transferred, who issues them, the condition of the goods and when they are issued. The table lists the types you will meet most often.

Order (negotiable) B/LConsigned “to order” or “to order of” a bank or shipper; transferred by endorsementLetters of credit, cash against documents, goods that may be resold in transit
Straight (non-negotiable) B/LNames one consignee; cannot be transferred by endorsementPrepaid orders, trusted buyers, related companies

Common types of bill of lading in agri exports.

The most important difference for a buyer is between a straight and an order bill. A straight bill names you as consignee, so only you can take the goods. An order bill can be endorsed by the named party to a new holder, which allows a bank to control the goods until you pay, or allows the goods to be sold while they are still at sea.

What Is the Difference Between an Original, a Telex Release and a Sea Waybill?

An original B/L is a paper document that must be presented to release the goods. A telex release and a sea waybill both let the buyer collect the goods without presenting paper originals.

  • Original B/L: usually issued as a full set of three originals. Any one original, properly endorsed if needed, releases the cargo, and the others then become void. Originals are sent by courier or through the banks, which takes time.
  • Telex release (surrendered B/L): the shipper surrenders the originals to the carrier at the port of loading. The carrier then sends a message to its destination office to release the cargo to the consignee without originals. It is fast and common once the buyer has paid.
  • Sea waybill: a non-negotiable transport document that is never a document of title. The named consignee simply proves its identity to collect the goods. It suits trusted, long-term trade and shipments between related companies.

For short voyages, such as India to the Gulf, the vessel may arrive before couriered originals do. A telex release or sea waybill avoids storage and demurrage charges in this case.

Original bills of lading are signed and issued in a set, usually of three.

What Information Is Shown on a Bill of Lading?

A bill of lading shows who is shipping, who is receiving, what is shipped and how it travels. The main fields are:

  • Shipper, consignee and notify party: the seller, the receiver (or “to order”) and the party to be told on arrival.
  • Vessel, voyage and ports: the vessel name, voyage number, port of loading and port of discharge.
  • Container and seal numbers: each container number with its seal number.
  • Description of goods: product, number and type of packages, gross weight and, often, the HS code.
  • Freight terms: “freight prepaid” or “freight collect”, which follow the Incoterm.
  • Dates and signature: the place and date of issue, the shipped on board date and the carrier’s or agent’s signature.

What Are Common Errors and How Can You Avoid Them?

Most B/L problems come from small differences between the B/L, the invoice and the letter of credit. The best way to avoid them is to check the draft B/L before the carrier issues it.

  • Name and address mistakes: the consignee or notify party does not match the contract or the letter of credit.
  • Description differences: the product name, packages or weights differ from the invoice and packing list.
  • Wrong freight term: “collect” shown on a CIF or CFR shipment, or the reverse.
  • Late shipment date: the on-board date falls after the latest shipment date in the contract or credit.
  • Claused remarks: notes on damaged bags or packing make the bill unclean.

Ask your supplier to send the draft B/L for your approval before issue.

How Does the Bill of Lading Fit into the Export Documents?

The B/L is one document in a set that travels with each shipment. For Indian agri exports, the set usually includes the commercial invoice, packing list, bill of lading, Certificate of Analysis, phytosanitary certificate and certificate of origin, plus fumigation, health or export certificates where required. Our certificates page lists which document is issued by which body.

The Incoterm decides who books the freight and therefore who deals with the carrier. Under FOB, the buyer’s nominated line issues the B/L, while under CFR and CIF the seller books the line. See FOB vs CIF for agri imports and EXW vs FOB for more. The payment terms decide how the B/L moves: through the banks under a letter of credit or cash against documents, or directly, or by telex release, after a telegraphic transfer. If you sell under your own brand, the B/L can show your company as consignee; see private label food sourcing from India.

Frequently asked questions

What is a bill of lading?

A bill of lading is a document issued by a shipping line or its agent for goods shipped by sea. It acts as a receipt for the goods, as evidence of the contract of carriage and, in its negotiable form, as a document of title. The holder of the original can claim the goods at the destination.

What are the different types of bill of lading?

The main types are order (negotiable) and straight (non-negotiable) bills, master bills from the shipping line and house bills from forwarders, clean and claused bills, and shipped on board and received for shipment bills. Through, switch and bearer bills are also used. Sea waybills and telex releases are common alternatives to paper originals.

What is the difference between an original and a telex release?

With an original bill of lading, the buyer must present a paper original to collect the goods. With a telex release, the shipper surrenders the originals at the loading port and the carrier tells its destination office to release the cargo without them. A telex release is faster and avoids courier delays.

What is a straight bill of lading versus an order bill?

A straight bill names one consignee, and only that party can take the goods; it cannot be transferred by endorsement. An order bill is made out to order of a bank or shipper and can be endorsed to a new holder. Order bills are used with letters of credit and when goods may be resold in transit.

Why is the bill of lading important in exports?

The bill of lading controls who can collect the goods, so it links shipment to payment. Sellers hold it until the buyer pays or the bank accepts documents. Banks check it closely under letters of credit, customs use it for clearance, and its on-board date shows whether the shipment met the contract period.
